1. Acceptance of terms
Welcome to Ratify.ai, a product and brand operated by Pritasha Solutions Private Limited (“Company”, “Ratify.ai”, “we”, “us” or “our”), a company incorporated under the Companies Act, 2013, with its registered office at N.H. 11, Dohar Kalan, Narnaul, Haryana — 123001, India.
These Terms of Service (“Terms”) govern your access to and use of the ratifyai.in website, the Ratify.ai apps on web and mobile, and related support and communications (together, the “Services”).
When you create an account, subscribe to a plan or otherwise use the Services, you (“User”, “you” or “your”) confirm that you have read, understood and accepted these Terms. These Terms are an electronic record under the Information Technology Act, 2000 and do not need a physical or digital signature.
1.1 Eligibility
- You are at least 18 years old and competent to enter into a contract under the Indian Contract Act, 1872
- If you use Ratify for a business, you have the authority to accept these Terms on its behalf, and “you” includes that business
2. Description of services
Ratify.ai is AI-powered billing and business management software for small and growing businesses in India. The Services currently include:
- Ratify Billing: GST invoices, quotations and delivery challans, shared on WhatsApp and email
- Ratify Inventory: stock, purchases, godowns and low-stock alerts
- Ratify Payments: receivables, payment links and reminders
- Ratify GST: HSN and SAC codes, tax summaries and reconciliation checks
- Ratify AI Assistant and AI Agents: answers from your business data, and suggested actions that need your approval
2.1 Plans and features
The features, usage limits and prices of each plan — Free, Starter, Growth, Business and AI Pro — are described on our Pricing page at the time you subscribe. We may add, change or remove features to improve the Services. If a change materially reduces what your paid plan includes during your current term, we will tell you in advance.
2.2 Early access
Ratify.ai is in early access. Current pricing is indicative and final plans will be confirmed before launch. Features marked as beta are provided to try out and may change or be withdrawn.
2.3 Ratify AI
Ratify AI uses your business data to answer questions, prepare drafts and suggest actions such as reminders and reorders. It does not send, change or file anything without your approval. You are responsible for reviewing AI outputs before you approve or rely on them (see Section 7).
2.4 Availability
We work to keep the Services available and reliable, but we do not guarantee uninterrupted or error-free operation. We may carry out planned maintenance and will try to schedule it when it causes the least disruption.
3. User obligations
3.1 Accurate information and your account
You agree to:
- Provide accurate, complete and current information, and keep it up to date
- Keep your login details confidential and tell us promptly about any unauthorised use of your account
- Give each team member their own login and a role that fits their work
- Take responsibility for all activity under your account, including by team members you add
3.2 Your business records and tax compliance
Ratify helps you create invoices and prepare GST data, but you remain responsible for:
- The accuracy of the invoices, prices, tax rates, HSN and SAC codes and other records you create
- Filing your GST returns and meeting your tax, accounting and record-keeping obligations
- Having a lawful basis to record and message your customers, suppliers and staff, including consent where the law requires it
Ratify is not a substitute for advice from a chartered accountant, tax practitioner or lawyer.
3.3 Acceptable use
You shall not:
- Use the Services for any unlawful, fraudulent or unauthorised purpose, including creating fake invoices or claiming input tax credit you are not entitled to
- Send spam or messages to people who have not agreed to hear from you
- Upload content that is unlawful, infringing or harmful, or that contains malware
- Copy, reverse-engineer, scrape or attempt to exploit the Services, our AI features or our systems
- Try to access another user’s account or data, or interfere with the security or performance of the Services
- Resell or provide the Services to others without our written permission
4. Intellectual property rights
4.1 Our intellectual property
All intellectual property in the Services stays with Pritasha Solutions Private Limited. That includes:
- The Ratify.ai software, apps, AI features, models, prompts and workflows
- Website content, design, documentation, and the Ratify.ai name and logos
We give you a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes while your account is active, under these Terms.
4.2 Your data
The business data you put into Ratify — invoices, customers, items, payments and other records — remains yours. You permit us to host, process, back up and display that data only as needed to provide and support the Services, as described in our Privacy Policy. You can export your data at any time.
4.3 Feedback
If you send us suggestions or feedback, we may use them to improve the Services without any obligation to you.
4.4 Third-party services
The Services work with third-party services such as WhatsApp, email providers and payment gateways. Your use of those services is governed by their own terms, and we are not responsible for them.
5. Payment terms
5.1 Plans and pricing
- Paid plans are billed for a 1-year or 3-year term, paid in advance
- Prices on our Pricing page include GST unless stated otherwise, and we issue a GST invoice for every payment
- 3-year billing costs less than three separate annual payments, as shown on the Pricing page
- The Free plan is free of charge, within the limits shown on the Pricing page
5.2 Renewals and plan changes
- Before your term ends, we will remind you and show the renewal price
- You can move to a higher or lower plan at any time; any price difference is shown before you confirm
- Your invoices, customers and stock stay as they are when you change plans
5.3 Late or failed payment
- If a payment for a paid plan fails or is not made, we may restrict paid features or move your account to the Free plan after giving you notice
- Your existing records are not deleted because a payment failed
5.4 Refunds and cancellations
You can cancel a paid plan at any time. Cancellation stops the next renewal, and your plan stays active until the end of the term you paid for.
Unless the law requires otherwise or we agree in writing, fees already paid are non-refundable, including for unused time in a term.
6. Confidentiality and data protection
6.1 Your business data is confidential
We treat the business data in your account as confidential. We:
- Use it only to provide, secure and support the Services
- Give our staff access only when needed to operate or support the Services, or when you ask for help
- Do not sell it or share it with anyone for their own marketing
6.2 Data security
We use reasonable security practices and procedures, including:
- Encrypted connections, secure authentication and role-based access
- Audit logs, cloud backup and recovery
- Confidentiality obligations for every employee and contractor
6.3 AI and your data
Your business data is not used to train, fine-tune or improve shared AI models unless you give us explicit consent. If you do, the scope will be clearly explained, and you can withdraw consent at any time.
Data protection compliance. We handle personal data in line with the Digital Personal Data Protection Act, 2023 and the Information Technology Act, 2000. For details, see our Privacy Policy.
7. Limitation of liability
7.1 Service disclaimer
- The Services are provided on an “as is” and “as available” basis
- AI outputs, suggestions, GST checks and calculations can be incomplete or wrong; review them before you approve or rely on them
- We do not guarantee any particular business, tax or regulatory outcome
7.2 Limitation of damages
To the maximum extent permitted under Indian law:
- Our total liability for any claim relating to the Services shall not exceed the fees you paid us in the 12 months before the claim arose
- We are not liable for indirect, incidental, special or consequential damages
- We are not liable for lost profits, lost data, tax penalties or interest, or business interruption
7.3 Force majeure
Neither side is liable for delays or failures caused by events beyond reasonable control — natural disasters, internet or telecom outages, government action, war, pandemic and similar events.
8. Termination
8.1 By you
You can stop using the Services and close your account at any time. Export any data you need before you close it.
8.2 By us
We may suspend or terminate your access:
- For a material breach of these Terms that is not fixed within 15 days of written notice
- Immediately, if we reasonably believe your account is being used for fraud or unlawful activity, or puts the security of the Services or other users at risk
- If we stop offering the Services, with at least 30 days’ notice
8.3 What happens next
- Your access to the Services ends
- You have 90 days to export your business data, unless the law or a lawful order prevents it, after which it is deleted as described in our Privacy Policy
- If we stop offering the Services, we refund the unused part of any prepaid fees
8.4 Survival
Clauses on intellectual property, payment obligations, confidentiality, limitation of liability and governing law continue to apply after your use of the Services ends.
9. Governing law and dispute resolution
These Terms are governed by the laws of India.
9.1 Dispute resolution
If we disagree, the path is:
- Good-faith negotiation between the parties, starting with an email to info@ratifyai.in
- Mediation, if both sides agree to it
- Arbitration under the Arbitration and Conciliation Act, 1996
- The courts of Haryana, India, as a last resort
10. Modifications to terms
We update these Terms from time to time. The current version always lives at ratifyai.in/terms, with the “Last updated” date at the top of the page.
Material changes are notified to active users by email or in-app notice at least 30 days before they take effect. Continuing to use the Services after that means you accept the updated Terms; if you do not agree, you can cancel before the change takes effect.
If you have a separate written agreement with us, that agreement wins where it conflicts with these Terms.
